Terms of Service.

§ 01

1. Acceptance of Terms

By accessing or using the CitiesTroves platform (the "Platform"), including the website at citiestroves.com and any associated mobile applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and CitiesTroves Ltd ("CitiesTroves," "we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Platform following any changes constitutes acceptance of those changes.

§ 02

2. Description of Service

CitiesTroves operates an online marketplace that connects guests seeking serviced residence accommodation with Residence Managers who offer such accommodation ("Service"). The Platform enables Residence Managers to create and publish listings for serviced residences, and enables guests to search, view, and reserve those listings.

CitiesTroves is a platform provider and is not a party to any rental or accommodation agreement between guests and Residence Managers. We do not own, operate, manage, or control any residences listed on the Platform. Residence Managers are solely responsible for the condition, legality, and suitability of their listed residences.

§ 03

3. User Accounts

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials. You are responsible for all activities that occur under your account.
• Notify us immediately of any unauthorised use of your account or any other breach of security.
• Not create multiple accounts for deceptive or fraudulent purposes.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or harmful purposes.

§ 04

4. Bookings and Reservations

When you make a reservation through the Platform, you enter into a direct agreement with the Residence Manager. CitiesTroves facilitates this transaction but is not a party to it.

• Confirmation: A reservation is confirmed only when you receive a confirmation from CitiesTroves. Until that point, no accommodation agreement exists.
• Modifications: Any modifications to a confirmed reservation must be agreed upon by both the guest and Residence Manager through the Platform.
• Cancellation: Cancellations are subject to the cancellation policy selected by the Residence Manager for the specific listing. Please review the applicable cancellation policy before reserving. See our Cancellation Policy for details.
• No-shows: If you fail to check in without cancelling your reservation, you may be charged the full reservation amount.

§ 05

5. Pricing and Payments

Residence Managers set the pricing for their listings. The total price displayed at the time of reservation includes:

• Nightly rate: Set by the Residence Manager.
• Service fee: CitiesTroves charges guests a service fee of up to 10% of the booking subtotal. This fee is clearly displayed before you confirm your reservation.
• Taxes and levies: Any applicable local taxes or government levies will be itemised in the reservation breakdown.

All payments are processed through our secure payment system. Payments are held by CitiesTroves and released to Residence Managers according to our payout schedule, typically within 24 hours of guest check-in.

Refunds are processed in accordance with the applicable cancellation policy and may take 5 to 10 business days to appear in your account depending on your payment provider.

§ 06

6. Residence Listings

Residence Managers who list residences on CitiesTroves agree to the following:

• All listing information — descriptions, photographs, amenities, and pricing — must be accurate and not misleading.
• You must have the legal right to list and rent the residence.
• You must comply with all applicable laws, regulations, and licensing requirements for short-term rentals in your jurisdiction.
• You must maintain your availability calendar to prevent double-bookings.
• Residences must be clean, safe, and match the listing description at the time of guest check-in.

CitiesTroves reserves the right to remove or suspend any listing that does not comply with our standards, receives consistently negative reviews, or violates these Terms. See our Host Agreement for full details.

§ 07

7. Reviews and Ratings

After each completed stay, guests may leave a review and rating for the residence. Reviews must be:

• Based on the actual experience during the stay.
• Honest, fair, and not misleading.
• Free from discriminatory, abusive, threatening, or defamatory content.
• Not influenced by compensation, threats, or other inducements from any party.

CitiesTroves reserves the right to remove reviews that violate these guidelines. We do not edit reviews for content, but we may remove reviews that contain prohibited content or that we determine were not left in good faith.

§ 08

8. Prohibited Conduct

You agree not to engage in any of the following activities when using the Platform:

• Violating any applicable laws, regulations, or third-party rights.
• Providing false, misleading, or fraudulent information or documents.
• Using the Platform for any purpose other than its intended use.
• Circumventing or attempting to circumvent the Platform's payment system by arranging direct payments with other users.
• Harassing, threatening, or discriminating against any other user.
• Scraping, data mining, or otherwise collecting data from the Platform through automated means.
• Attempting to gain unauthorised access to the Platform, other user accounts, or our systems.
• Posting or transmitting malware, viruses, or any other harmful code.
• Using the Platform to facilitate illegal activities, including money laundering, fraud, or human trafficking.

§ 09

9. Intellectual Property

The Platform, including its design, text, graphics, logos, icons, images, software, and all other content, is the property of CitiesTroves or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, modify, distribute, display, or create derivative works from any content on the Platform without our prior written consent. Residence Managers retain ownership of the content they upload (photographs, descriptions) but grant CitiesTroves a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with the Platform.

§ 10

10. Limitation of Liability

To the maximum extent permitted by applicable law, CitiesTroves shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including:

• Loss of profits, revenue, data, or business opportunities.
• Personal injury or property damage resulting from your use of accommodation booked through the Platform.
• Any disputes between guests and Residence Managers.
• Interruption or unavailability of the Platform.

Our total liability for any claim arising from or related to these Terms shall not exceed the total amount of service fees paid by you to CitiesTroves in the twelve (12) months preceding the event giving rise to the claim.

§ 11

11. Dispute Resolution

If a dispute arises between a guest and a Residence Manager, CitiesTroves may, at its sole discretion, attempt to mediate the dispute. However, we are not obligated to do so and are not responsible for the outcome of any dispute.

Any dispute arising from or relating to these Terms or your use of the Platform that cannot be resolved through direct negotiation shall first be submitted to mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction set forth in Section 12.

§ 12

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria, for the resolution of any disputes arising out of or relating to these Terms or your use of the Platform.

§ 13

13. Changes to Terms

CitiesTroves reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically for any changes. If you do not agree with the updated Terms, you must stop using the Platform.
